Meaning
International trade terms designate the point where the seller delivers goods to a carrier nominated by the buyer at a named place within the country of origin. Using the free carrier designation in battery sourcing contracts clarifies exactly where the risk of loss transfers and who is responsible for the costs of export clearance. This term is frequently selected for lithium ion battery shipments because it allows the buyer to control the logistics and safety protocols of the main transit leg.
The seller completes their obligation once the goods are handed over at their own facility or another agreed location such as a port or warehouse. It provides a flexible framework that accommodates different modes of transport including road, rail and sea.
Risk Transfer
Responsibility for the cargo shifts from the manufacturer to the purchaser at the moment the cells are loaded onto the transport vehicle. When a contract is signed under free carrier terms, the buyer must ensure that the shipping company is qualified to handle dangerous goods and has the correct insurance in place. If the cells are damaged during the journey from the factory to the destination, the buyer is the party that must file a claim with the insurer.
This arrangement prevents disputes by setting a clear physical boundary for liability. The seller is only responsible for the condition of the batteries up to the point of handover.
Logistics Responsibility
Buyers take on the task of booking the freight and managing the complex documentation required for international battery transport. Under the free carrier arrangement, the seller is still required to provide the necessary export licenses and safety data sheets to facilitate the departure from the origin country. The purchaser then manages the transit through intermediate hubs and the final import into their own territory.
This gives the purchasing company the power to choose carriers that specialize in battery safety and have better tracking capabilities. It also allows them to negotiate their own freight rates based on their total shipping volume.
Freight Arrangement
Loading the goods is the final act for the seller if the named place is their own premises. If the named place is a secondary location, the seller is responsible for the inland transport but not for the offloading of the goods at that point. Using free carrier allows for a clean break in the supply chain that simplifies the accounting of transport costs and taxes.
This is particularly useful for large scale battery projects where the cells may be sourced from multiple factories and consolidated at a single port. The clarity of this term reduces the administrative burden on both parties during the execution of the contract.
