This free on board arrangement transfers the risk of loss and the responsibility for costs from the exporter to the importer at that precise moment. It governs the division of expenses for the inland transport and the export clearance in the country of origin.
The buyer is responsible for the ocean freight and the insurance as well as the destination charges. It applies only to maritime or inland waterway transport and is widely used for bulk shipments of battery minerals or large quantities of cells.
Cargo Liability Transfer
Moment of crossing the vessel’s rail marks the transition of ownership and the risk of damage for the entire shipment. Before this point, the seller must manage the movement of the batteries to the harbor and pay for the loading process. If a container is dropped during the crane operation, the seller is liable for the replacement costs.
Once the cargo is securely on the ship, the buyer assumes all future risks including maritime accidents or delays at sea. This clear boundary helps in determining which party should file an insurance claim in the event of a loss. The buyer must ensure that their cargo insurance policy is active from the time the goods are loaded.
Providing a clean bill of lading is a requirement for the seller to prove they have met their contractual duties.
Ocean Freight Responsibility
Selection of the carrier and the payment of the shipping rates fall to the purchaser under these standard terms. Because the buyer pays the ocean freight, they have more control over the shipping route and the choice of the logistics provider. This flexibility allows the importer to consolidate shipments from multiple suppliers into a single vessel to reduce costs.
The buyer also manages the communication with the port of arrival and the local customs authorities. The seller is only required to provide the necessary documents to facilitate the export from their own country. This division of labor is common in the battery industry where buyers often have global contracts with major shipping lines.
Negotiating the best freight rates is a direct way for the buyer to lower the total cost of the components.
Shipping Cost Management
Financial impact of the transport process is split between the two trading partners according to the location of the named port. The seller includes the cost of moving the goods to the origin port in the unit price of the batteries. Under free on board terms, the buyer must account for the variable costs of international shipping and the import duties.
This requires the purchaser to have a strong logistics team capable of managing the hazards of transoceanic transit. If the shipment is diverted to a different port or faces congestion fees, the buyer must absorb those additional expenses. The term is not suitable for air freight or road transport where the delivery point is not a vessel.
